Delivery Partner Agreement

1. Nature of Relationship

1.1 Independent Contractor: You acknowledge you are working as an independent contractor (Freelancer) and not an employee of the Platform.

1.2 Regulatory Compliance: You confirm you possess a valid Freelance Certificate (Wtheeqat Amal Hurr) and any necessary licenses from the Transport General Authority (TGA). You are responsible for your own GOSI registration if applicable.

2. Obligations and Conduct

• 2.1 Food Safety: You are fully responsible for the safe and hygienic transport of food. Orders must be delivered in the same condition they were received (e.g., using approved thermal bags).
• 2.2 Professional Conduct: You must comply with all KSA traffic laws, maintain your registered vehicle, and adhere strictly to customer service ethics.

3. Earnings and Cash on Delivery (COD)

3.1 Earning Calculation: Earnings for each order are calculated primarily based on the Distance Traveled (base distance + additional per km rate). The Platform reserves the right to adjust formulas for peak hours or ratings.

3.2 Cash Handling Limits (COD): You are authorized to handle Cash on Delivery (COD) orders up to a specific limit. This cash is a debt owed to the Platform. If your collected cash reaches the limit, your account will be temporarily suspended (Offline) until the balance is settled.

3.3 Damages and Loss: If an order is lost, damaged, or spilled due to negligence, the Platform reserves the right to deduct the full cost (Base Price + VAT) from your digital wallet.

4. App Device Permissions

To route orders and track deliveries accurately, the Rider App requires the following permissions:

• Background & Fine Location: Required to calculate your precise delivery distance for payouts and to track live deliveries for customers, even when the app is in the background.
• Alarms & Notifications: The app uses full-screen intents and exact alarms to wake your device and play an alert sound so you never miss an incoming order request.

5. Data Protection (PDPL)

5.1 Customer Privacy: Customer Data (Name, Location, Phone Number) is provided strictly for order progress. In compliance with the Saudi Personal Data Protection Law (PDPL), saving contact details or contacting customers after delivery is strictly prohibited.

6. Governing Law & Disputes

6.1 Dispute Resolution: This Agreement shall be governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in KSA.
