This Agreement regulates food delivery services through the Sapadukadai electronic platform. By registering and using the Sapadukadai Restaurant Partner Application, you (the "Restaurant") agree to be bound by these Terms and Conditions with Sapadukadai (the "Platform").
This agreement regulates food delivery services through the electronic platform. This is a computer-generated document. No physical signature is required. Both parties agree to the terms electronically by proceeding with the registration process within the App.
3.1 Pricing Model (Markup): The Restaurant acknowledges and agrees that the Platform lists food items at a price higher than the Restaurant's base menu price. The Platform adds a markup (e.g., 20%) to the Restaurant's base price to determine the final selling price displayed to the Customer. This markup represents the Platform’s service earnings.
3.2 Settlement Calculation: The Platform shall remit to the Restaurant the Restaurant’s Base Price plus 15% VAT calculated on that Base Price. The Platform retains the difference between the Final Selling Price and the amount remitted to the Restaurant.
3.3 Payment Transfer: Due amounts will be transferred to the Restaurant's registered Saudi Bank Account (via IBAN) within standard working days, subject to the agreed payout cycle.
To function correctly, the Sapadukadai Partner App requires the following device permissions:
5.1 Shared Data: Both parties agree to comply with the Personal Data Protection Law (PDPL) of Saudi Arabia.
5.2 Customer Privacy: Customer data (including name, location, and phone number) provided by the Platform to the Restaurant must be used strictly for order fulfillment purposes.
5.3 Restrictions: The Restaurant must not store, share, or use customer data for independent marketing or promotional campaigns without explicit customer consent.
6.1 Quality Liability: The Restaurant bears full responsibility for food quality, safety, and any resulting customer health issues.
6.2 Systems Liability: The Platform is responsible for maintaining the technical routing system and platform marketing.
6.3 Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts in the Kingdom of Saudi Arabia.
